      On January 30, 2002, Kaiser Aluminum & Chemical Corporation issued a
press release in the form attached hereto as Exhibit 99.1, which press release
is incorporated herein by reference.

      Effective January 29, 2002, Kaiser Aluminum Corporation and its
subsidiary, Kaiser Aluminum & Chemical Corporation, entered into a Waiver
and Consent Agreement with the financial institutions (the "Lenders") that are
parties to the Credit Agreement, dated as of February 15, 1994, as amended, and
with Bank of America, N.A., as Agent for the Lenders, in the form attached
hereto as Exhibit 99.2, which Waiver and Consent Agreement is incorporated
herein by reference.
